These Terms and Conditions ("Terms") govern your access to and use of the services, products, and platforms provided by Jaspa Innovate (Pty) Ltd, a private company incorporated in accordance with the laws of the Republic of South Africa ("Jaspa", "we", "us", or "our"). By engaging our services, placing an order, or using any of our digital platforms, you ("Client", "you") agree to be bound by these Terms in full.
"Services" means all professional services rendered by Jaspa, including but not limited to website development, business email provisioning, software platform licensing, IT consulting, and skills development management tools.
"Platform" means any software-as-a-service product operated by Jaspa, including Jaspa One, Jaspa ECD, Jaspa Mail, and Jaspa Workplace.
"Client" means any individual, company, or entity that procures or uses Jaspa Services.
"Agreement" means these Terms together with any signed proposal, service agreement, or purchase order between Jaspa and the Client.
By requesting a quote, signing a proposal, making payment, or using any Jaspa platform, you confirm that you have read, understood, and agreed to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use our services.
3.1 All project-based services (including website development) commence only upon receipt of a signed proposal and the agreed deposit payment.
3.2 Project scope is defined in the signed proposal. Any additions or changes to scope after commencement will be subject to a separate written change order and may attract additional fees.
3.3 Jaspa will deliver Services with reasonable skill and care, consistent with industry standards applicable to the South African market.
3.4 Client is responsible for supplying all required content, assets, credentials, and approvals within agreed timelines. Delays caused by Client-side inaction may extend delivery timelines and will not constitute a breach by Jaspa.
3.5 Final deliverables will be released to Client only upon receipt of full outstanding payment.
4.1 Standard payment terms are 30 days from invoice date unless otherwise agreed in writing.
4.2 Recurring subscription services (platform licences, business email) are billed monthly in advance. Failure to pay within 7 days of the due date may result in suspension of the service without further notice.
4.3 All amounts quoted are exclusive of VAT unless expressly stated otherwise.
4.4 Jaspa reserves the right to charge interest on overdue amounts at 2% per month compounded monthly, in accordance with the National Credit Act where applicable.
4.5 Jaspa reserves the right to withhold deliverables, suspend platforms, or engage debt collection for amounts outstanding beyond 60 days.
5.1 Upon receipt of full payment, Client receives ownership of the final custom deliverable (e.g. website, bespoke application) produced specifically for them, excluding any third-party components, open-source libraries, or pre-existing Jaspa proprietary tools incorporated therein.
5.2 All Jaspa platforms (Jaspa One, Jaspa ECD, Jaspa Mail, Jaspa Workplace) remain the exclusive intellectual property of Jaspa Innovate (Pty) Ltd. Clients receive a non-exclusive, non-transferable licence to use the platform for the duration of their active subscription only.
5.3 Jaspa retains the right to display work produced for Clients as portfolio or case study examples unless the Client expressly requests confidentiality in writing prior to project commencement.
Both parties agree to keep confidential all information disclosed in the course of the engagement that is marked as confidential or that a reasonable person would understand to be confidential. This obligation survives termination of the Agreement by five (5) years.
7.1 Jaspa's total aggregate liability to Client for any claims arising under or in connection with the Agreement shall not exceed the total fees paid by Client to Jaspa in the three (3) months immediately preceding the event giving rise to the claim.
7.2 Jaspa shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of data, loss of business, or lost profits, even if Jaspa has been advised of the possibility of such damages.
7.3 Jaspa does not warrant that any platform or service will be error-free or uninterrupted. We commit to reasonable uptime targets as specified in the applicable service documentation.
7.4 Nothing in these Terms limits or excludes liability that cannot be lawfully limited or excluded under applicable South African legislation.
8.1 Either party may terminate a subscription service by providing 30 days' written notice prior to the next billing cycle.
8.2 Jaspa may terminate or suspend services immediately and without notice if Client breaches these Terms, fails to make payment, or engages in conduct that is unlawful or harmful to Jaspa or third parties.
8.3 Upon termination, Client's access to Jaspa platforms will cease on the termination date. Client is responsible for extracting their data prior to termination. Jaspa will retain Client data for 30 days after termination, after which it may be permanently deleted.
You agree not to use Jaspa Services to: transmit unlawful, defamatory, or fraudulent content; violate any applicable law or regulation; attempt to gain unauthorised access to Jaspa systems or third-party systems; engage in any activity that disrupts, damages, or impairs the functioning of any Jaspa platform; or infringe the intellectual property rights of any third party.
Jaspa shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including Eskom load-shedding, internet infrastructure outages, civil unrest, natural disasters, pandemics, or acts of government.
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or in connection with these Terms shall first be referred to good-faith mediation between senior representatives of both parties. If mediation fails within 30 days, the matter shall be resolved by arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), with the seat of arbitration in Pretoria, Gauteng.
Jaspa reserves the right to update these Terms at any time. Material changes will be communicated to active Clients via email at least 14 days before the effective date of the change. Continued use of Jaspa services after that date constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable or invalid by a competent court or arbitrator, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
